Mazaal For Auctions Organizing Co. L.L.C.

These Terms and Conditions ("Terms") govern access to and use of the Mazal website, mobile application, Marketplace, Auction services, Wallet, Portfolio, valuation services, private-deal functionality, data-related features and related services (together, the "Platform"). The Platform is operated by Mazaal For Auctions Organizing Co. L.L.C., Commercial Licence No. 1629312, Dubai, United Arab Emirates ("Mazal", "we", "us" or "our"). By registering for an account, you agree to these Terms, our Privacy Policy, applicable Auction rules and any service-specific terms displayed on the Platform.

Privacy Policy

1.Registration, Eligibility and KYC

Mazal permits individuals, corporate entities and international collectors to register, subject to applicable law, legal-capacity requirements and the registration requirements shown on the Platform.

  • Terms & Conditions are accepted during registration.
  • KYC is completed at registration and applies across the Platform.
  • UAE-resident individuals may register using Emirates ID or passport. A resident who registers using a passport must upload Emirates ID within 30 days, failing which the account may be suspended.
  • Non-UAE-resident individuals may register using a passport.
  • Corporate entities may register subject to the corporate information and verification requirements presented during registration.
  • Mazal may collect and verify identity, contact, residency, corporate and account information required to operate the Platform and comply with applicable requirements.

2.Nature of the Platform

Mazal provides a structured digital environment for premium vehicle number plates, including Marketplace listings and offers, Auctions, Wallet services, Portfolio subscriptions, valuations, private deals and other data or service features made available from time to time.

  • Marketplace and Auction are separate transaction journeys.
  • Mazal is not a financial adviser and does not guarantee future value, appreciation or resale price of any number plate.
  • Government transfer procedures remain subject to the applicable Roads and Transport Authority (RTA) or other competent authority rules.
  • Feature-specific rules may be displayed in the Platform and form part of the applicable transaction or service terms.

3.Transfer of Plate Ownership to Mazal

Before a plate can be listed on the Marketplace or entered into an Auction, the seller must transfer the plate into Mazal's designated RTA traffic file, number 51671290. Once the transfer is confirmed, Mazal controls the plate for the relevant Platform journey and can complete the onward transfer to a successful buyer.

  • Because the plate is transferred to Mazal before listing or Auction participation, no separate ownership certificate is required for Marketplace listing.
  • Mazal Operations confirms that the ownership transfer into Mazal's traffic file has been completed.
  • Government transfer fees related to Platform transactions are borne by Mazal unless the Platform expressly states otherwise.

4.Marketplace Listings

Marketplace listing is self-service after the plate transfer to Mazal has been confirmed. Mazal Operations does not approve the seller's listing price.

  • After Mazal Operations confirms the ownership transfer, the Add a Number Plate feature is activated for the seller.
  • The seller may list the plate and set the asking price at their discretion.
  • The listing goes live without Operations approval of the asking price.
  • The seller may remove the listing before a completed purchase, subject to any applicable subscription or service terms already incurred.
  • Publication does not guarantee a sale, level of visibility or transaction timing.

5.Marketplace Offers and Purchases

A Marketplace plate may be purchased at its displayed price or may receive a buyer offer where the offer feature is available.

  • A buyer may submit up to five (5) offers on the same plate.
  • The seller may accept an offer or submit a counteroffer.
  • A buyer purchasing at the listed price selects the plate, adds it to cart and proceeds to checkout.
  • A plate is reserved only after a successful payment.
  • A Marketplace purchase becomes binding when the required payment is successfully made.
  • Where a single payment is used, payment must be completed within the same checkout session.
  • Where split payment is available, the full payment must normally be completed within four (4) days.

6.Marketplace Listing Packages

Mazal offers optional promotional packages designed to increase the visibility of Marketplace listings.

These promotional services are separate from Marketplace transaction fees.

Marketplace Listing Packages may include one or more of the following benefits:

  • Premium Marketplace placement;
  • Homepage placement;
  • Featured positioning;
  • Social media promotion;
  • Listing badges;
  • Promotional campaigns;
  • Other marketing benefits offered by Mazal.

During the Pre-Launch Phase, the following packages may be available:

  • Early Access
  • Feature
  • Showcase
  • Spotlight
  • The Mazal Six

Following the official launch of the Platform, available packages may include:

  • Showcase
  • Spotlight
  • The Mazal Six

Package availability, pricing, duration and included benefits are displayed within the Platform and may change from time to time.

Unless otherwise stated:

  • Promotional package fees are non-refundable once activated.
  • Promotional package benefits are activated only after successful payment of the applicable package fee.
  • Purchasing a promotional package does not guarantee a successful sale.
  • Promotional positioning remains subject to Mazal's operational and technical requirements.
  • If a number plate is sold before the promotional period expires, the promotional package shall be deemed fulfilled and no refund or credit shall be issued.

Mazal may amend, discontinue or replace promotional packages at any time.

Mazal reserves the right to modify, reschedule or substitute promotional placements where reasonably required due to operational, marketing or technical considerations, provided the overall package benefits are substantially maintained.

7.Split Payments and Extensions

Where a buyer is unable to complete a permitted split payment within the applicable deadline, the buyer may request an extension.

  • Mazal Operations may contact the seller, seek the seller's approval and align both parties before extending the payment deadline.
  • An extension is not automatic and depends on seller approval and Mazal's operational confirmation.
  • If the buyer decides not to proceed with the remaining payment, Mazal will cancel the transaction, refund amounts already paid and apply an AED 5,000 buyer penalty.

8.Marketplace and Auction Fees

At checkout, the buyer pays the final plate purchase price together with the following Mazal fees calculated on the final selling or winning price:

  • Execution Fee: 4%.
  • Clearing & Settlement Fee: 1%.
  • No additional Mazal transaction fee is currently charged.
  • VAT is not currently added under the present Platform pricing model; this may change if required by the relevant authorities.
  • Government and RTA transfer fees are borne by Mazal.

Mazal may change future service, subscription or promotional pricing. Any applicable price or fee will be shown before confirmation of the paid service or transaction.

9.Payment, Escrow and Seller Settlement

Marketplace and successful Auction transaction funds are paid into Mazal's designated bank account and held by Mazal as part of its escrow and settlement process.

  • Mazal controls the plate under its designated RTA traffic file before the transaction completes.
  • Following successful buyer payment and completion of the applicable ownership-transfer process, Mazal credits seller proceeds to the seller's Mazal Wallet.
  • Seller proceeds are credited to the Mazal Wallet following completion of the applicable settlement step.
  • A user may request withdrawal from the Mazal Wallet, subject to a minimum withdrawal amount of AED 350. Approved withdrawals are processed within 24 hours, subject to operational and banking processing.
  • Mazal may delay settlement where reasonably required to investigate fraud, payment errors, compliance concerns or legal requirements.

10.Mazal Wallet

Wallet funds may be used across Mazal services, including Marketplace purchases and Auction participation.

  • Auction deposits and eligible returned amounts are credited to or remain within the Wallet.
  • Users may request withdrawals from the Wallet, subject to a minimum withdrawal amount of AED 350.
  • The minimum withdrawal amount is AED 350.
  • No Mazal withdrawal fee is currently charged.
  • Wallet credit does not expire under the current Platform rules.
  • Mazal may restrict access to Wallet funds where required by law, fraud-prevention measures or an unresolved transaction.

11.Auctions

Auctions are subject to Operations approval and the Auction rules displayed on the Platform.

  • Every Auction requires an auction deposit. The minimum deposit is AED 5,000.
  • A user's bidding capacity is ten (10) times the amount deposited. AED 5,000 provides bidding capacity up to AED 50,000; AED 10,000 provides capacity up to AED 100,000.
  • The seller sets the Auction start/reserve figure, subject to Mazal Operations approval.
  • Once approved, the number is released for Auction display for three (3) days. On Day 4, live bidding opens for a total of twenty-four (24) hours.
  • Bids are binding once submitted and cannot be retracted.
  • No automatic last-minute extension applies under the current rules.
  • The winning bidder must complete payment within one (1) business day.
  • The 4% Execution Fee and 1% Clearing & Settlement Fee apply to the final Auction purchase price.
  • Mazal may cancel, suspend, invalidate or re-run an Auction where required by technical issues, suspected manipulation, fraud, legal requirements or circumstances affecting Auction integrity.

12.Auction Deposits and Winning-Bidder Default

  • Unsuccessful bidder deposits remain available in the bidder's Mazal Wallet.
  • A winning bidder's Auction deposit is returned to the bidder's Mazal Wallet following successful completion of the transaction.
  • If a winning bidder fails to complete the purchase, AED 5,000 is forfeited from the applicable deposit or Wallet balance and the user is restricted for two (2) weeks from displaying/listing number plates on Auction or Marketplace.
  • Mazal Operations may contact the second-highest bidder and ask whether they remain willing to purchase at their last bid price. If they agree, Mazal will seek the seller's approval before proceeding.
  • A seller may not cancel an Auction after entering the plate into the Auction process except where Mazal permits otherwise under the applicable Auction rules.

13.Portfolio Subscription

Mazal offers a Portfolio feature as a monthly subscription service.

  • Current Portfolio subscription: AED 69 per month.
  • Portfolio subscribers receive a valuation figure every month as part of the subscription.
  • Users may add number plates to their Portfolio even where they do not own those number plates.
  • Where a plate remains under Mazal rather than being transferred back, it may be displayed in the relevant user's Portfolio.
  • Portfolio display and valuation information are informational features and do not constitute proof of ownership or a guaranteed sale value.
  • The users may list one or more of their numbers in the portfolio given they follow the ownership transfer process.

14.Valuation Services

  • Mazal offers a standalone valuation certificate service for AED 1,500.
  • Valuations are human-reviewed and based on Mazal experts' market knowledge and available market information.
  • A valuation is an estimate only and is valid for one (1) month.
  • Mazal does not guarantee that a plate will sell at the valuation amount.
  • Standalone valuation services may include a certificate with a unique verification number and/or QR code.
  • Monthly Portfolio valuation figures do not include a standalone valuation certificate unless separately purchased.

15.Verified Auctions and Authenticated Plate Control

Mazal describes an Auction as verified where Mazal has verified or controlled the relevant seller/account, plate, plate ownership through transfer into Mazal's traffic file, bidders and required deposit/funding controls before or during the Auction process. Marketplace listing price itself is not approved or authenticated by Mazal.

16.Private Deals and Data Features

Mazal may make private-deal functionality and data-related features available through the Platform. Where such features are available, the applicable functionality, charges, eligibility criteria and transaction rules will be displayed within the Platform and will form part of the terms governing that service. Nothing in this clause creates a feature or obligation beyond what is actually made available to the user.

17.User Content and Marketing Use

  • Mazal may create or prepare plate imagery and listing assets used on the Platform.
  • Mazal may edit, crop, publish and use listing content for the operation and promotion of the Platform, including social media and marketing.
  • Mazal may reject or remove content that is inaccurate, fraudulent, unlawful or inconsistent with Platform standards.

18.Prohibited Conduct

  • Fraud, false information, manipulation of Auctions or Marketplace activity, impersonation and unlawful activity are prohibited.
  • Users must not interfere with Platform security, scrape Platform data, reverse engineer the Platform or use Mazal data to build a competing service.
  • Mazal may suspend or restrict accounts where KYC requirements are not completed or where conduct threatens the integrity of the Platform or violates applicable law.

19.Communications

Mazal may contact users by email, SMS, WhatsApp, push notification, telephone or in-app messaging in connection with registration, account activity, transactions, Auctions, service updates and marketing where permitted. Users may opt out of marketing communications through available preference or unsubscribe mechanisms, while transactional and service communications may continue where necessary.

20.Privacy and Data Protection

Mazal processes personal information in accordance with its Privacy Policy and applicable UAE data protection requirements. Information may be processed and shared with payment providers, banking partners, RTA or other competent authorities, technology providers and service providers where necessary to operate the Platform and complete transactions.

21.Platform Availability and Changes

Mazal may update, modify, suspend or discontinue Platform features, services, pricing or rules where required for operational, commercial, technical, legal or regulatory reasons. Mazal does not guarantee uninterrupted access to the Platform.

22.Intellectual Property

All rights in the Mazal Platform, software, design, interface, databases, branding, logos, text, images and related materials are owned by or licensed to Mazal. Users receive only a limited, personal, revocable right to use the Platform for its intended purpose.

23.Disclaimers and Limitation of Liability

To the fullest extent permitted by law, Mazal does not guarantee the accuracy of every market estimate, uninterrupted Platform availability, future plate values, a successful sale within any period or third-party/government system availability. Mazal is not liable for indirect or consequential losses except to the extent such liability cannot lawfully be excluded.

24.Governing Law

These Terms are governed by the laws of the United Arab Emirates as applicable in the Emirate of Dubai. The courts of Dubai shall have jurisdiction over disputes, subject to any mandatory legal requirement or dispute-resolution process applicable to the transaction.
